Direct reporting to Regional Counsel, Asia Pacific with dotted-line to local Director of Operations.
Job Purpose
The individual would be responsible for advising the business on contractual risk matters and for taking the lead on negotiation, review and drafting of key contracts in support of a diverse range of global security and risk advisory / consulting services.
Tasks and Responsibilities
Negotiate contract terms with clients, effectively balancing the contractual exposure of the business with the need to maintain good working relationships with its clients. Contracts include the Company’s standard terms and conditions, client-specific contracts, government contracts and vendor contracts, competitive tenders and associated documentation (such as guarantees, bid/performance bonds, NDAs and MOUs).
? Other substantive legal areas of involvement may include: compliance (including data protection, state secrecy, anti-bribery), corporate, insurance, IP, and procurement.
? Ensure consistent provision of legal advice in dealings with external stakeholders including clients, suppliers, supra-national bodies (such as the EU, World Bank, United Nations and others) and governments.
? Clearly articulate to business colleagues the risks attendant on particular contracts or contractual provisions and advise accordingly.
? Effective and substantial interaction required with both the business team and other members of the legal and compliance team.
? Monitor key legal developments; ensuring that the business considers legal trends in the formulation of its business strategy.
? Solve problems against a wide spectrum of issues and geographies.
Knowledge and Experience
? The ideal person may or may not have trained in a law firm but more importantly will have credible, hands-on in-house experience of managing commercial contracts.
? A generalist with broad experience who enjoys the commercial and operational aspects of business.
? Experience of a similar role in China – would be preferred.
? Exposure to Control Risks’ key sectors in China (oil & gas, state-owned enterprises, construction) would be preferred.
? Bilingual in Chinese and English (reading, writing and speaking) – essential.
? Excellent drafting skills, including an ability to explain legal concepts in plain Chinese/English.
? Demonstrate ability to interact with all levels of a fascinating and highly complex business and understand its fundamental drivers, including different types of risks the business may face particularly in conflict zones.
? Robust negotiator with the ability to persuade and convince and the facility to switch between commercial and technical arguments.
? Diligent and conscientious, with strong analytical skills and excellent attention to detail, while understanding the commercial context behind an assignment.
? Demonstrate an understanding of all categories of risk – prioritising business imperatives without jeopardising the integrity of the organisation, its employees or putting it at legal risk.
Qualifications and Specialist Skills
? Minimum of 5-8 years experience.
? Legal or commercial contract management experience in China.
? Familiarity with the laws of the PRC.
