职位描述
岗位职责：
1.与运营团队合作评估目标公司和/或合作伙伴和开发/执行增长战略
2.协助交易过程中的整体架构与战略方针，如收购，合资，合作伙伴关系和战略联盟。
3.协商处理文件，包括意向书，采购协议，运营协议等。
4.建立复杂的估值模型
5.评估潜在交易的回报/指标主要财务指标，包括内部收益率，现金，现金，NPV等
6.能熟练的与卖家协调，协助所有尽职审查资料的收集和后续分配，确保尽职调查过程中的各个领域进行适当的审查
7.与各个领域合作，包括法律，合规，财务，会计和野外作业，以及多个地区的内部审查
岗位要求：
1.至少3年以上的工作经验，管理（主要负责人），有收购和合资谈判经验的优先
2.有在投资银行，或顶级战略咨询公司经验的人优先。
3.能力带领一个交易过程，从最初阶段，通过关闭
4.能够独立完成多个交易并进行管理
5.需有创造力，思维敏捷。
6.适应经常出差
7.医疗保健行业工作经验者优先，
8.MBA专业优先
9.精通Excel，PowerPoint和Word

Transaction Director / Manager
Responsibilities:
1.Collaborate with operations team to identify and evaluate target companies and/or partners and develop/execute growth strategy
2.Assist in developing the structure of a transaction such as acquisition, joint venture, partnership and strategic alliances
3.Negotiate deal documents including letter of intents, purchase agreements, operating agreements, management services agreements, medical director agreements and leases related to acquisitions, joint ventures and divestitures
4.Build complex valuation models for potential acquisitions, joint ventures, denovos and divestitures
5.Evaluate potential deals returns/metrics using key financial metrics including IRR, Cash-on-Cash, NPV, multiples, accretion/dilution, etc.
6.Manage due diligence process including leading physical site visits, coordinating with sellers, assisting with the collection and subsequent distribution of all due diligence materials, and ensuring that all areas of the diligence process undergo appropriate reviews
7.Coordinate internal review across multiple functions including legal, compliance, finance, accounting and field operations, and multiple geographies
8.Create presentations and proposals for potential sellers, joint venture partners, senior management, Board of Directors, etc.
Desired Experience:
1.At least 3 years experience in managing (as the primary responsible party) and negotiating acquisitions and joint ventures
2.Prefer experience from an M&A group at a leading investment bank or with a top-tier strategy consulting company, or from a Corporate Development or a Business Finance function in a Company or a start-up
3.Ability to lead a deal process from initial stages through closing
4.Self-Starter, with ability to immediately manage multiple transactions
5.Creative, energetic thinker, not in need of step by step instruction after short ramp up period
6.Willing to travel ~5-10 nights a month or more
7.Health Care industry experience preferred, but not required
8.MBA from a top-ranked school preferred, but not required
9.Extremely proficient in Excel, PowerPoint and Word
10.Fluency in Mandarin and English, both verbal and written, is essential
