Duties and Responsibilities：

- Work closely with the Company’s new Business Units to draft, review and negotiate transaction documents such as non-disclosure agreement, license agreement, Social Media Platform Management Agreement, PR Management Agreement, or other operating agreements as requested;

与公司业务部门紧密合作起草、审阅交易文件（保密协议、许可协议、社交平台管理协议、公关管理协议或其他运营协议）以及相关谈判；

- Provide general corporate legal advices to inhouse clients, including advices on entity set-up, regulatory compliance, employment, and intellectual property/brand protection;

为公司内部客户提供日常公司法律顾问服务，包括企业设立、日常合规、劳动法及知识产权/品牌保护；

- Work with outside corporate secretary service company to manage and keep existing corporate entities including both onshore and offshore in compliance, form new entities, annual return filing, and update general corporte agreements;

与外部的公司秘书服务公司合作，管理并确保集团现有的境内及境外子公司符合相应法律规定、设立新公司、相应年报申报及相应公司文件的更新；

- Assist in managing the Company’s relationship with ADS despositary bank, transfer agents and filing agents;

协助管理公司与美国存托凭证托管银行、股份转让代理人、及申报代理人之间的关系；

- Assist in developing company policies on legal issues to accomplish company objectives and minimize potential legal liabilities;

协助制定法律相关的公司政策以实现公司目标并最小化潜在法律风险；

- Assist in developing, preparing and updating the Company‘s form transaction documents;

协助制定、准备并更新公司的交易文件模板；

- Assist in managing outside counsels across multiple jurisdicitons;

协助管理多个法域的外部律师；

- Assist in managing and maintenance of the Company’s global IP portfolio;

协助管理并维护公司在全球注册的各类商标；

- Assist in SEC filings applicable to foregin private issuers such as, 6K, 20F with the help of external counsel;

- 在外部律师的帮助下协助完成适用于境外发行人的美国证监会披露及公告文件，如6k及20F ；

- Assist in specifying internal governance policies and regularly monitor compliance;

协助解释公司内部治理政策及日常合规监督

- Research and evaluate various risk factors regarding business decisions and operations;

检索及评估公司业决定及运营中的各类风险因素；

Qualifications

资历要求

Required

必备资历

• Bachelor of Law or above from a reputable law school

知名法学院本科或以上学历

• Qualified PRC lawyer

法律职业资格

• 5+ years‘ work experience at a reputable law firm or in-house legal department of a US based company

知名律师事务所或美国公司法务三年以上工作经历

• Fluent in English and Mandarin.

• Some knowledge of SEC compliance and regulatory matters or have experience with NYSE listing company

具有一定美国证监会合规及管理的知识或纽交所上市公司经验

• Experience in social media, public relationship, streaming or entertainment related legal work
