Job title: Paralegal Co & Entity Mgmt COE

Reports to: VP Regional COE & Asia General Counsel

Subordinate: N/A

Working location: Shanghai, China

Responsibilities:

• Maintain/update corporate entity information and transaction documents in a third-party vendor data system; and provide customized corporate information reports as requested;
• Obtain Corporate approval for formation, change of director, change of name, liquidation of entity;
• Obtain signature from Corp officers;
• Obtain signature from local officers relating to entity formation, restructuring and liquidation
• Prepare filing documents for entity formation/change/liquidation;
• Support on external filing;
• Provide support to other corporate governance matters
• Others matters directed by the law department

Requirements:

• Minimum of two years of experience as a manager of entity matters with international law firms, leading Chinese law firms or corporate law department of MNC.
• Certain experience and understanding of corporate secretarial filing;
• Fluent English and Chinese in oral and written communications and company secretary documents
• Detail oriented, self-motivated and analytical.
• Strong organizational and interpersonal skills/able to coordinate well with others.
• Handle work under pressure/meet deadlines.

• Good communication skills and team player
• Bilingual in Mandarin and English
• High proficiency in Microsoft Office Suite of products, library and database creation and maintenance
