Job Description:
Ensuring effective legal risk management (operational focus)
1. Address legal risks and opportunities by
- proactively identifying them and bringing them together with a proposal for the solution to the attention of business functions;
- applying entrepreneurial and legal view point in order to mitigate risks and to realize opportunities which otherwise may have been missed within the scope of local laws and regulations;
- feasibly protecting the benefit of the company from the point of legal and compliance;
2. Effective legal control of agreements and tenders within assigned areas by
- Drafting, reviewing and negotiating all types of agreements
- Taking responsibility for LoA legal assessment (if applicable)
3. Managing claims and legal proceedings by:
- Managing claims both offensive and defensive by analyzing the contract and setting up the strategy in order to optimize business position
- gathering facts
- analyzing legal situation
- setting up strategy
- bringing in specialists if required
- liaising with external lawyers
- effectively managing costs in order to mitigate risks and exploit opportunities.
4. Compliance support at:
- Maintain the latest version/ revision of the compliance circulars, procedures, guidelines, regulations and policies in the CNC Manual, archieve outdated versions;
- Coordinate and conduct regular trainings on the compliance programm, latest circulars issued by Primetals and monitor the web based trainings in regards to completion status;
- Ensure that all employees understand and adhere to the Business Conduct Guidelines;
- Coordinate and conduct compliance audits, cross check expense billings on a random basis;
- Coordinate and support all compliance audits, interviews by HQ and/ or external auditors/ laywers and ensure follow up on all required actions/ deficiencies;
- Reporting of all compliance related issues, such as implementation, training status, compliance expenses (internally & externally) etc.;
- In charge of the Compliance LoA in case of involvement of agents/ consultants and ensure timely release by RCO;
- Support the sales in performing due diligences of agents/ consultants;
- Coordinate, monitor and closely follow up on high risk payments approval and release of payments with RCO & GCO;
5. Share the legal and compliance knowledge within the company by:
- Providing up-to-date knowledge tool, training materials and sessions in order to keep a good atmosphere of legal and compliance internally, also proactively influence the business function’s behavior to identify business opportunities and minimize risks.
6. Reporting on:
- File reports on material legal risks and proceedings with the relevant documents and data;
- Compliance findings with the relevant supporting documents and data;
7. Managing outside counsel by
- selecting and retaining them
- clearly instructing and supervising them
- taking decisions in consultation with the external lawyers
- managing costs (e.g. create proper budget, agree on fixed fees, caps, rates, negotiate rebates, check invoices)
- in order to achieve cost efficiency and high value and timely legal advice.

Qualifications:
1. Fully educated on legal profession with excellent academic background, at least a bachelor of law degree;
2. Fluent English on speaking and writing, especially on the legal and compliance topics;
3. Good at communication and expression;
4. Be able to effectively work with cross-function partners under the high pressure. 举报 分享
