Title: Legal Counselor

1. Position Summary

Manage and oversee all documents are in compliance with the company rules and guidelines and local statutory authorities. Prepare or review agreements to facilitate business operations.

2. DUTIES AND RESPONSIBILITIES

· Review and finalize bidding documents

· Review non standard Terms & Conditions (T & C) in Sales and Service contracts

· Liaise with LSA legal for approval in deviations from standard T & C

· Discuss and explain T & C with customers/ lawyers

· Review and finalize external documents such as Confidentiality / Sunshine agreements

· Draft agreements to support business operations

· Compliance in Software License Revenue Recovery scheme

· Follow up labor court cases

· Issue dunning letters for overdue debts

· Handle company secretarial issues

· Ensure that the reporting and compliance requirements are completed in a timely, accurate, transparent and efficient manner

· Highlight exceptions & risk areas according to the latest laws and regulations in China

· Assist senior management on ad-hoc assignments

3. EDUCATION AND/OR EXPERIENCE:

· Degree holder in Law

· Legal Professional Qualification Certificate/Lawyer certificate in PRC/ BAR

· 3 years experience in law firms plus 2 years commercial experience in multinational trading organization(s)

· Experience in Commercial contracts

4. POSITION QUALIFICATIONS:

· Sound knowledge of the latest laws and regulations in PRC

· Strong interpersonal, planning & organizing (people and project) skills

· Be ready to handle multi tasks and prioritize jobs

· strong adaptability to changes, experience in fast changing/ evolving environment is a plus

· Willingness to take initiative and capability to handle pressure

· Adaptable, open-minded, dynamic and team player

· Excellent command of both spoken & written English and Mandarin
